Service Charge Agreement

Effective Date: October 2nd , 2024 

This Service Charge Agreement (“Agreement”) is entered into between GLOBAL SQUASH COLLABORATIVE LLC for the product known as Club Locker (“Company,” “we,” “us,” or “our”) and the user (“User,” “you,” or “your”) accessing or using our platform (“Platform”). By completing a tournament registration or any other applicable transaction on our Platform, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree, you may not complete the registration or use the services subject to this Agreement. 

1. Purpose of Service Charge

Club Locker provides a comprehensive software-as-a-service (SaaS) platform for sports management, including tournament registrations, ratings, and other services. To ensure the continuous development, support, and enhancement of our Platform, a service charge (“Service Charge”) will be applied to certain transactions processed through Club Locker. 

The Service Charge is instituted for the following purposes: 

• Ongoing Support and Maintenance: To provide continuous support, updates, and maintenance for the Platform to ensure optimal performance and user experience. 

• Platform Development and Improvements: To fund ongoing development and improvement of features, functionalities, and infrastructure within Club Locker. 

• Compliance and Security: To maintain compliance with applicable regulations and ensure high standards of data privacy and security. 

• Infrastructure Costs: To cover the operational costs associated with hosting, servers, third-party integrations, and other necessary infrastructure. 

• Access to Enhanced Features: To support the delivery of enhanced features and services on the Platform. 

2. Service Charge Details

• Amount and Calculation: The Service Charge is currently set at $5.67 per entrant for tournament registrations. This charge may be subject to change at our discretion. Any updates to the Service Charge will be communicated to you through the Platform or via email before they become effective. 

• Application: The Service Charge will apply specifically to tournament registrations processed through Club Locker at our discretion, or as negotiated with tournament organizers. However, we reserve the right to extend this charge to other transactions and services on the Platform as needed. The Service Charge is per entrant for each tournament registration. 

• Separate and Non-Refundable Charge: The Service Charge will be billed separately from the primary transaction amount (e.g., the tournament registration fee). This charge is non-refundable under any circumstances, including but not limited to cancellations or changes in registration, except as required by applicable law. 

• Effective Date: This Service Charge Agreement is effective as of October 2nd, 2024, and will apply to registrations and relevant transactions processed through Club Locker, at our discretion, or as negotiated with tournament organizers on or after this date. 

3. Refunds and Disputes

• Non-Refundable: The Service Charge is strictly non-refundable, except as required by applicable law. Any request for a refund of the Service Charge will not be entertained, regardless of the circumstances. 

• Dispute Resolution: If you believe the Service Charge has been applied incorrectly, you must contact our customer support team within thirty (30) days of the transaction to raise a dispute. Failure to do so will result in a waiver of your right to dispute the charge. 

4. Modification of Service Charge

We reserve the right to modify the amount, calculation method, application, or other aspects of the Service Charge at any time. Any changes will be communicated through the Platform, via email, or by other reasonable means before they become effective. Continued use of the Platform after such changes constitutes your acceptance of the modified Service Charge terms. 

5. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be resolved exclusively in the state or federal courts located in New York County, New York. 

6. Acceptance of Agreement

By completing a tournament registration or any other applicable transaction on Club Locker, you acknowledge that you have read, understood, and agree to be bound by this Service Charge Agreement. Your electronic acceptance of this Agreement has the same legal effect as a physical signature. This Agreement forms a part of our Terms of Service and should be read in conjunction with them. 

7. Severability

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. 

8. Entire Agreement

This Agreement, together with our Terms of Service, constitutes the entire agreement between you and us regarding the Service Charge and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
